Approving an Amended and Restated Agreement with NV5 Geospatial, Inc. of Springfield, Illinois for Geographic Information System Professional Services, Kane County Section No. 23-00567-00-AM

WHEREAS, the County of Kane requires continued technical support for its Geographic Information Systems, including applications, data development, transportation asset management, mapping, system integration, and related technical services, hereinafter referred to as the “Project”; and
WHEREAS, the Kane County Board approved Resolution No. 23-467 on November 14, 2023, authorizing an agreement between the County of Kane and GIS Solutions, Inc. for Geographic Information System professional services, with a term expiring on December 31, 2026; and
WHEREAS, GIS Solutions, Inc. was subsequently acquired by NV5 Geospatial, Inc., which has succeeded to and assumed GIS Solutions, Inc.’s rights and obligations under the original agreement; and
WHEREAS, the original agreement provides for one additional three (3) year term extension following satisfactory consultant service and written approval by the Kane County Engineer; and
WHEREAS, the Kane County Engineer deems the work completed by NV5 Geospatial, Inc. formerly known as GIS Solutions, Inc., to be satisfactory, and thus has provided written approval and notification of an additional three-year term extension commencing January 1, 2027, and ending December 31, 2029; and
WHEREAS, continued Geographic Information System professional services are necessary to maintain continuity and avoid disruption to ongoing County projects and operations; and
WHEREAS, the County of Kane and NV5 Geospatial, Inc. desire to enter into an Amended and Restated Agreement incorporating and updating the Scope of Services, rate schedule and term of their original agreement; and
WHEREAS, NV5 Geospatial, Inc., of Springfield, Illinois, has the professional experience and expertise necessary to perform the required Geographic Information System professional services; and
WHEREAS, the cost of the additional three-year term shall not exceed Two Hundred Twenty-Five Thousand Dollars ($225,000.00).
NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman is hereby authorized and directed to execute the Amended and Restated Agreement with NV5 Geospatial, Inc. for Geographic Information System professional services, Kane County Section No. 23-00567-00-AM.
BE IT FURTHER RESOLVED that the Kane County Board hereby appropriates the sum of Two Hundred Twenty-Five Thousand Dollars ($225,000.00) from County Highway Fund #300, Line Item #50150 (Contractual/Consulting Services), and authorizes said amount to be added to the existing purchase order for payment of said Geographic Information System professional services.
