Authorizing an Amendment to the Professional Services Agreement with Derek Poarch and Associates, LLC for KaneComm Executive Director Search Services

WHEREAS, Kane County issued Request for Proposals (RFP) 26-025-TK for consulting services for an Operational Assessment of KaneComm; and
WHEREAS, by Resolution No. 26-253, the Kane County Board authorized a contract with Derek Poarch and Associates, LLC ("Consultant") for KaneComm operational assessment and consulting services in an amount not to exceed $69,061; and
WHEREAS, the County and Consultant subsequently entered into a Professional Services Agreement establishing total contract compensation not to exceed $69,060.15, with amendments permitted only by a written document signed by both parties; and
WHEREAS, KaneComm requires executive recruitment services for the selection of its next Executive Director, and Consultant submitted a KaneComm Executive Director Search Proposal dated October 5, 2026; and
WHEREAS, the Executive Director Search Proposal provides for a full-service national executive search, including stakeholder engagement and position analysis, development of a position profile and recruitment materials, recruitment marketing and candidate sourcing, application screening and evaluation, semifinalist and
finalist assessment, due diligence and reference checks, interview facilitation, offer and negotiation support, transition assistance, and search closeout; and
WHEREAS, the proposed executive search is anticipated to be completed over approximately fourteen (14) weeks and has a fixed not-to-exceed price of $29,975, inclusive of the Consultant's related expenses; and
WHEREAS, the County desires to amend the Professional Services Agreement to incorporate the Executive Director Search Proposal and increase the total contract compensation by $29,975, for a revised total not-to-exceed amount of $99,035.15; and
WHEREAS, funding for the additional services shall be paid from Emergency Telephone System Board (ETSB) funds, subject to availability and appropriation.
NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that the Chairman thereof is hereby authorized and directed to execute a written amendment to the Professional Services Agreement with Derek Poarch and Associates, LLC, subject to review and approval by the Kane County State's Attorney's Office and the Purchasing Department, to: (1) incorporate the KaneComm Executive Director Search Proposal dated October 5, 2026 and the executive recruitment services described therein; (2) increase the contract amount by an additional sum not to exceed $29,975; and (3) establish a revised total contract compensation not to exceed $99,035.15. Except as expressly amended, all other terms and conditions of the Professional Services Agreement shall remain in full force and effect.
