Authorizing Settlement Agreement with Wexford Health Sources, INC.

WHEREAS, effective December 1, 2017, the County of Kane (“County”) and Wexford Health Sources, Inc., (“Wexford”) entered into a three-year contract for the provision of detainee medical services at the Kane County Adult Justice Center, which was authorized by the Kane County Board on January 9, 2018, via Resolution No. 18-12, and subsequently extended for two-optional one-year terms, the most recent of which was via Resolution 21-532; and
WHEREAS, the County and Wexford executed additional terms for the final one-year extension via an “Inmate Health Services Agreement” dated December 1, 2021 (the “Contract Extension”), which incorporated by reference the terms of the original contract and added additional terms; and
WHEREAS, a pre-litigation dispute has arisen between the parties regarding the calculation of certain amounts owed and due to Wexford under the additional terms of the Contract Extension (“the Dispute”); and; and
WHEREAS, in an effort to avoid litigation, the parties have agreed it is in their best interest to resolve and settle the Dispute.
NOW, THEREFORE, BE IT RESOLVED by the Kane County Board that it hereby approves settlement in the amount of One Million Two Hundred Fifty Thousand Dollars ($1,250,000), to be paid as per the terms of the settlement agreement agreed to by the parties, in exchange for a full release of any and all known and unknown claims which may be asserted by Wexford against the County of Kane, its elected officials, and their respective employees, representatives and agents in their individual and official capacities arising out of the Dispute.
NOW, THEREFORE, BE IT FURTHER RESOLVED by the Kane County Board that the Chairman thereof or a representative of the Kane County State's Attorney's Office is hereby authorized to execute any and all settlement documents associated with the aforementioned matter consistent with the terms set forth herein.
